Terms of Use

You must be at least 18 years old (or the age of majority where you live) to use the Service. If you use the Service on behalf of an organization, you represent authority to bind that organization. We may refuse service, suspend accounts, or limit access at any time, for any reason or no reason, in our sole discretion.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business or personal purposes. You will not: copy, modify, create derivative works of, reverse engineer, decompile, or attempt to extract source code or models; circumvent technical limitations; probe, scan, or test vulnerabilities; use the Service to build a competing product; or resell the Service without our prior written consent.

You retain ownership of content you provide, subject to the license below. You grant Eclypse a worldwide, perpetual, irrevocable, royalty-free, sublicensable, transferable license to use, reproduce, modify, distribute, publicly display, publicly perform, create derivative works from, and otherwise exploit your prompts, inputs, logos, text, media, and other materials ("User Content") for any purpose including, without limitation, operating and improving the Service, training and tuning AI models, marketing, analytics, benchmarking, and creating aggregated or de-identified datasets for any use (including commercial use by Eclypse and third parties). You represent you have all rights necessary to grant this license.

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited license to use the specific website output generated for your project for your own business purposes. Eclypse retains all right, title, and interest in templates, components, design patterns, underlying code structure, and pre-existing materials. On free or trial tiers, any Eclypse branding, attribution, or "stamp" link displayed on published sites must remain visible and may not be removed, obscured, or circumvented unless and until you upgrade under a plan that expressly permits removal.

You agree not to use the Service to:

• Violate any law or third-party rights (including intellectual property and privacy);
• Generate or distribute malware, spam, or unlawful, defamatory, or harassing content;
• Attempt unauthorized access to systems, accounts, or data;
• Interfere with or disrupt the Service or other users; or
• Use the Service in any manner we deem abusive, excessive, or contrary to our policies.

We may investigate and take action—including suspension or termination—without refund, in our sole discretion.

Paid features require timely payment of applicable fees. Unless otherwise stated, all fees are non-refundable. We may change prices or introduce new fees upon at least seven (7) days' notice by email or in-product notice; continued use after the effective date constitutes acceptance. Taxes may apply. Failure to pay may result in suspension or termination.

The Service is provided on an "as is" and "as available" basis. We do not guarantee uptime, error-free operation, or that outputs will meet your requirements. We may perform maintenance, modify features, or discontinue functionality at any time. We are not liable for any loss of data, projects, or published sites.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND ALL OUTPUTS ARE PROVIDED WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. AI-GENERATED CONTENT MAY BE INACCURATE OR INCOMPLETE. YOU ARE SOLELY RESPONSIBLE FOR LEGAL COMPLIANCE OF YOUR PUBLISHED SITES (INCLUDING NOTICES, PRIVACY PRACTICES, ACCESSIBILITY, AND THIRD-PARTY RIGHTS).

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL ECLYPSE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO ECLYPSE FOR THE SERVICE IN THE THREE (3) MONTHS BEFORE THE CLAIM, OR (B) FIFTY U.S. DOLLARS (USD $50). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN SUCH CASES OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED.

You will defend, indemnify, and hold harmless Eclypse and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your User Content, your use of the Service, your published sites, or your breach of these Terms.

You may stop using the Service at any time. We may suspend or terminate your access, with or without cause or notice. Upon termination, rights granted to you cease; we may delete your data and published assets in our discretion. Provisions intended to survive (including licenses to the extent exercised, disclaimers, liability limits, indemnity, and dispute resolution) will survive.

We may modify these Terms at any time by posting the updated Terms. Your continued use after the effective date constitutes acceptance. If you do not agree, you must stop using the Service.

You grant Eclypse the right to identify you as a customer and to use your name, trademarks, domain names, and non-confidential descriptions or screenshots of your projects in marketing and promotional materials, unless you opt out by emailing us at legal@eclypse.digital. Opt-out applies prospectively only and does not affect prior uses.

These Terms are governed by the laws of England and Wales, excluding conflict-of-law rules. Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered under the rules of the London Court of International Arbitration (LCIA), seated in London, in English, before a single arbitrator. YOU AND ECLYPSE WAIVE ANY RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION OR REPRESENTATIVE PROCEEDING. If arbitration is not enforceable as to a particular claim, exclusive jurisdiction lies in the courts of England and Wales.

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms freely, including in connection with a merger, acquisition, or sale of assets.

These Terms constitute the entire agreement between you and Eclypse regarding the Service and supersede prior agreements on the subject. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. Headings are for convenience only.
